Agreement to Terms
These Terms of Service ("Terms," "Agreement") govern your use of the Golden Agendas mobile and web application ("the App"), provided by Golden Agendas ("we," "us," "our"). By creating an account or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.
These Terms constitute a legally binding agreement between you and Golden Agendas. If you are using the App on behalf of another person, you represent that you have the authority to bind that person to these Terms.
Eligibility
You must be at least 18 years of age to create an account and use the App. By registering, you represent that you meet this age requirement and are legally able to enter into a binding agreement. An adult caregiver may set up and manage an account on behalf of a senior in their care, as described in "Caregiver & Senior Accounts" below. We do not knowingly allow anyone under 18 to create an account.
Your Account
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate information when registering and to keep your account information current. Notify us immediately of any unauthorized use of your account. We are not liable for losses resulting from unauthorized access caused by your failure to safeguard your credentials.
Caregiver & Senior Accounts
Golden Agendas is often used by a caregiver or family member on behalf of a senior. The App currently uses a shared-login model, meaning a single account is shared by the account holder and those they authorize:
- Account holder: The person who creates the account is responsible for all activity under it, including ensuring the senior consents to its use and that the information entered is accurate.
- Senior / user: The senior for whom the account is set up may use the account with the account holder's permission.
- Shared access: Anyone who has the account's login credentials has full access to all data in that account (events, medications, contacts, and settings). There is no separate "caregiver-only" role or restricted permission level at this time.
- Responsibilities: The account holder is responsible for deciding who may use the credentials, for obtaining any required consent from the senior, and for any actions taken through the account. If you believe access has been compromised, change your password and notify us.
- No authority over the senior: Using the App on a senior's behalf does not grant the account holder legal authority over the senior. Legal authority (such as power of attorney or guardianship) is a separate matter between the parties.
Subscriptions & Billing
Golden Agendas offers monthly and annual subscription plans. The following terms apply to all subscriptions:
- Free Trial: New subscribers may be offered a 7-day free trial. During the trial, you will not be charged. If you do not cancel before the trial ends, your subscription automatically converts to a paid plan and your payment method is charged. You can cancel at any time during the trial at no cost.
- Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle (monthly or annually) until you cancel.
- Where you purchase: Subscriptions purchased through the App on the web are processed by Base44 Payments (powered by Wix). Subscriptions purchased within the Apple App Store or Google Play are processed by Apple or Google and subject to their respective terms, including their refund and cancellation policies.
- Pricing: Current pricing is displayed in the App. We may change pricing upon reasonable notice. Price changes take effect at the start of your next billing cycle. Subscriptions billed by Apple or Google are subject to their pricing and tax rules.
- Failed Payments: If a payment fails, we may retry it or suspend access until payment is resolved. For app-store subscriptions, billing is managed by Apple or Google and their failed-payment rules apply.
- Cancellation: You may cancel at any time from your account profile (web subscriptions) or from your Apple or Google account settings (app-store subscriptions). Cancellation prevents future charges but does not entitle you to a refund for the current billing period, except as required by law or by the applicable app-store's refund policy.
- Refunds: Web subscription fees are non-refundable except where required by applicable law. App-store refunds are governed by Apple's or Google's refund policies. If you believe you were charged in error for a web subscription, contact us through the App's Support page.
- Payment Processing: Payments are processed securely by our payment provider (or by Apple/Google for in-app purchases). We do not store your full payment card details.
AI-Generated Content & Voice Processing
The App uses artificial intelligence to interpret your spoken or typed input and to generate summaries and briefings:
- AI may be inaccurate. AI-generated event details, dates, times, medication names, and summaries may contain errors. Always review AI-created entries before relying on them.
- Voice processing. Your spoken words are transcribed by your device and interpreted by our AI provider. We do not guarantee that transcription or interpretation will be correct.
- Not a substitute for professional judgment. AI-generated information is for convenience only and must not replace professional advice, especially for medications, health, or safety decisions.
- No warranty on AI output. We provide AI features "as is" and disclaim any warranty as to their accuracy, completeness, or suitability for any purpose.
Third-Party Integrations
The App may integrate with third-party services such as Google Calendar. When you connect a third-party service:
- Permissions: You grant the permissions required by that service (for Google Calendar, access to your primary calendar events). You can review and revoke these permissions at any time through your Google account settings.
- Data synchronization: Synced data (such as calendar events) is copied into your account so it appears in your schedule and briefings. Edits made in the third-party service may be reflected in the App, and vice versa, depending on the integration.
- Third-party outages: Integrations depend on the availability of the third-party service. We are not responsible for outages, changes, errors, or discontinued features of third-party services, and such issues may affect related features in the App.
- Disconnection: You can disconnect an integration at any time. After disconnection, we stop fetching new data from that service; data already copied into your account remains until you delete it.
- Third-party terms: Your use of third-party services is also governed by those services' own terms and privacy policies. Golden Agendas is not responsible for their practices or content.
Acceptable Use
You agree not to:
- Use the App for any unlawful purpose or in violation of any applicable law.
- Attempt to access another user's account or data without authorization.
- Interfere with, disrupt, or overload the App's servers or infrastructure.
- Upload or transmit viruses, malware, or harmful code.
- Reverse engineer, decompile, or attempt to extract the App's source code.
- Use automated scripts, bots, or scrapers to access the App without our permission.
- Reproduce, copy, sell, or resell access to the App without authorization.
No Medical Advice & Safety Disclaimer
Golden Agendas is a personal scheduling, reminder, and organization tool. It is not a medical device and does not provide medical advice, diagnosis, treatment, or professional healthcare services.
- Reminders may be missed or delayed. Medication reminders, event notifications, and briefings depend on your device, internet connection, email delivery, and third-party services. They may be missed, delayed, or not delivered at all. Do not rely on the App as your sole method of remembering medications or critical appointments.
- Information may be inaccurate. Event and medication information is self-reported or AI-interpreted and may contain errors. Always verify important details against your actual schedule and your healthcare provider's instructions.
- Device & internet failures. The App may not function during device, network, or service outages. We are not responsible for failures outside our control.
- Medication reliance. Following or failing to follow a reminder is entirely your decision and responsibility. The App does not monitor whether you actually took a medication and cannot alert others if you miss a dose.
- Emergencies. The App is not an emergency service. In a medical or safety emergency, call your local emergency number or contact emergency services directly — do not rely on the App.
- AI-generated information. Any content generated or interpreted by AI may be incorrect and must not replace professional advice for health, medication, or safety decisions.
Always consult a qualified healthcare professional regarding medications, dosages, and health decisions. Do not rely solely on this App for medical or safety-critical needs.
Processing of Your Information
You authorize Golden Agendas to collect, store, and process your information as necessary to provide, maintain, and improve the App, including to create events and reminders, send medication and briefing emails, generate adherence summaries, process payments, and provide support. Processing is described in our Privacy Policy, which is incorporated into these Terms by reference.
Disclaimers
The App is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, secure, or that reminders will always be delivered on time or at all.
Limitation of Liability
To the maximum extent permitted by law, Golden Agendas, its officers, directors, employees, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or health outcomes, arising out of or related to your use of the App. This includes situations where a reminder, notification, or briefing is not delivered, delayed, or incorrect, and any reliance on AI-generated information.
Liability cap. To the extent permitted by applicable law, Golden Agendas' total aggregate liability for any claim arising out of or related to these Terms or the App is limited to the greater of (a) the total amount you paid to Golden Agendas for the subscription in the twelve (12) months preceding the claim, or (b) fifty U.S. dollars ($50). This cap does not apply to liability that cannot be limited under applicable law, such as liability for gross negligence, willful misconduct, or matters required by statute.
You use the App at your own risk.
Indemnification
You agree to indemnify and hold harmless Golden Agendas, its affiliates, and their respective officers, directors, and employees from claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the App in violation of these Terms, your violation of any law or third-party right, or content or information you submit through the App. This indemnification obligation does not apply to matters caused by Golden Agendas' own negligence or willful misconduct.
Account Termination & Data Consequences
You may delete your account at any time from the Profile page. We may suspend or terminate your access to the App if you violate these Terms, engage in fraudulent or harmful activity, or if we reasonably believe it is necessary to protect the App or other users.
Data upon termination: When you delete your account, your events, medications, intake logs, contacts, and settings are deleted. Residual backup copies are purged within 30 days, except where retention is required by law. See our Privacy Policy for details.
Subscription upon termination: Deleting your account does not automatically cancel an active app-store subscription — you must cancel through Apple or Google to stop future charges. Web subscriptions are canceled when your account is deleted. Refunds, if any, are governed by the "Subscriptions & Billing" section and applicable law.
Upon termination, your right to use the App ends immediately.
Intellectual Property
The App, including its design, features, content, logos, and software, is owned by Golden Agendas and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the App without our written permission. Your personal data — events, medications, contacts, and profile information — remains yours.
Changes to These Terms
We may revise these Terms from time to time. If we make material changes, we will notify you through the App or by email. The revised Terms take effect upon posting. Continued use of the App after changes constitutes acceptance of the updated Terms.
Governing Law & Disputes
These Terms are governed by the laws of the Commonwealth of Kentucky and the United States, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the App shall be resolved in the state or federal courts located in Kentucky, unless otherwise required by applicable consumer protection law. You and Golden Agendas each consent to the personal jurisdiction of those courts. The parties expressly do not agree to binding arbitration, and nothing in these Terms prevents either party from bringing a claim in court. These Terms do not include a class-action waiver; however, class actions are governed by the applicable rules of the court in which a claim is brought.
